Notice of Annual General Meeting

QUALICUM BEACH CHAMBER OF COMMERCE
NOTICE OF ANNUAL GENERAL MEETING OF MEMBERS
TO THE VOTING STAKEHOLDERS:

NOTICE IS HEREBY GIVEN that the Annual General Meeting of the Qualicum Beach Chamber of Commerce (hereinafter called the “Chamber”) will be held:

Wednesday, April 25, 2018
TIME:
5:30 PM (Pacific Time)
PLACE:
Arrowsmith Golf Club, Qualicum Beach, BC

For the following purposes:
1. To receive the reports of the Board of Directors of the Chamber;
2. To receive and approve the financial statements of the Chamber for the fiscal year ending December 31, 2017;
3. To elect and appoint Directors for the Chamber for the ensuing year as set out in Appendix "B" of this Notice;
4. To consider, and if thought fit, to approve amendments to the current Bylaws of the Chamber with the proposed variations as set out in Appendix “A” of this Notice; and
5. To transact such further or other business as may properly come before the meeting and any adjournment or adjournments thereof.

If amendments to the current Bylaws are adopted at the AGM, they will not come into force immediately, but will be submit for approval by Corporations Canada on behalf of the Minister of Innovation, Science and Economic Development and come into force upon such approval. The Chamber will post on its website when the new amended bylaws become effective. Until that time, the current bylaws remain in effect.

Appendix "B"
There are five (5) seats to be filled by way of election at the AGM. Currently, five (5) candidates have been nominated through the work of the Nominating Committee and through nomination by the membership, and one (1) current Director at the end of his term will be seeking re-election. As such, an election will be held in accordance with section 13 of the federal Board of Trade Act by way of ballot. Furthermore, nominations will be accepted from the floor prior to the vote provided the following bylaws are adhered to:
7.04 Every Director will be nineteen (19) or more years of age and will be a resident, property owner or business operator in the District (defined by Coporations Canada as “Qualicum Beach, Dashwood, Hilliers, Coombs and Errington, excluding the Town of Parksville” (1979-09-20));
7.03 Any three (3) members in good standing may submit nominations for the position of Director.

Please be advised that 'Voting Stakeholders' are defined by the QB COC current Constitution and Bylaws dated 01 December 2010 and approved by Industry Canada as follows:
3.05 There shall be the following classes of membership in the Chamber:
Member - .... A member will have the right to vote on any issue coming before a meeting of the members or in any survey condujcted by the Chamber....
Associate / Racking Member - ..... but such fees and dues will be less than that payable by a member. An associate member will not be entitled to vote. An associate member is not eligible for nomination or election to the Board of Directors.....

Please call the office at 250-752-0960 if you require clarification regarding the above. Voting Stakeholders must be Members in good standing in order to receive a voting ballot. No proxy votes shall be permitted at any General Meeting.
